Terms of Service & Platform Covenant

These Terms of Service constitute a formal, legally binding Master Services Agreement ("Agreement") between Aetrium Group("Company", "We", "Us") and the contracting enterprise, agency, or individual ("Client", "You").

By accessing aetriumgroup.com, executing a Scope of Work (SoW), deploying payloads to app.aetriumgroup.com, or initiating a velocity sprint retainer, you expressly agree to be bound by every clause contained within this covenant.

For all usage of our cloud software products, AI extraction engines, and API endpoints accessible via app.aetriumgroup.com, Aetrium explicitly warrants our In-Flight Zero Data Retention (ZDR) architecture:

• No Storage of Client Payloads: Client files, PDF documents (including shipping manifests, MSAs, corporate invoices), database schemas, and prompt streams submitted for AI transformation are processed exclusively in volatile RAM enclaves and are never written to persistent disk storage.
• Zero AI Model Training Covenant: Client data, prompts, and inference outputs are strictly confidential. Aetrium covenants and warrants that no client payload shall ever be utilized to train, fine-tune, validate, or benchmark generalized LLMs or shared Foundation Models.
• Cryptographic Sanitization: Upon completion of the transaction or termination of the session, all temporary memory buffers processing client payloads are cryptographically wiped pursuant to NIST SP 800-88 Rev. 1 specifications.

Aetrium guarantees the engineering and staging deployment of a production-ready Minimum Viable Platform (MVP) or custom software architecture within thirty (30) calendar days from the official sprint commencement date. The commencement date is strictly conditioned upon: (a) receipt of cleared initial retainer funds, and (b) mutual execution of the locked Scope of Work (SoW).

Client Dependencies & Velocity Protection: This velocity guarantee requires timely Client cooperation. Any delays in asset delivery, third-party credentials, or feedback turnaround exceeding twenty-four (24) hours during the active sprint cycle will toll the 30-day guarantee and may necessitate schedule adjustments or scope change orders.

We build sovereign software assets for ambitious organizations. Upon receipt of full and final payment for all invoiced milestones:

100% Client IP Assignment: Aetrium hereby assigns, transfers, and conveys to the Client all right, title, and interest in and to the custom source code, bespoke frontend components, backend database schemas, and architectural blueprints developed explicitly for the Client under the applicable SoW.

Pre-Existing & Open-Source Libraries: Any pre-existing architectural utilities, open-source modules (MIT/Apache licensed), or proprietary Aetrium core frameworks embedded within the deliverable remain licensed under their respective perpetual, non-exclusive, royalty-free terms to ensure complete operational independence without vendor lock-in.

Due to the dedicated allocation of senior engineering personnel required for our high-velocity sprint cycles, all engagements operate under the following structure unless otherwise specified in an executed SoW:

• Architectural Retainer: A 50% non-refundable engineering retainer is due upon contract execution prior to sprint commencement.
• Final Settlement: The remaining 50% balance is due upon successful staging server deployment and User Acceptance Testing (UAT) sign-off, immediately prior to production edge migration and formal IP assignment transfer.

30-Day Post-Launch Warranty: Aetrium warrants that all delivered code will conform substantially to the locked SoW specifications. We provide a complimentary 30-day post-launch warranty window covering the resolution of any architectural bugs or regression defects at no additional charge.

Limitation of Liability:Beyond the express warranties stated herein, the software and infrastructure services are provided "AS IS". In no event shall Aetrium's aggregate cumulative liability arising out of or related to this Agreement exceed the total compensation paid by the Client to Aetrium under the specific SoW giving rise to the claim during the preceding twelve (12) months. Neither party shall be liable for indirect, incidental, punitive, or consequential damages.

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice of law or conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, or validity, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Wilmington, Delaware.
